These Terms of Service ("Terms") govern your access to and use of ReviewSpy (the "Service"), operated by WM Vertex LLC ("ReviewSpy", "we", "us", or "our"), a New Mexico limited liability company located at 412 W 7th St Ste 1239, Clovis, NM 88101, USA (EIN: 61-2351379). By creating an account or using the Service, you agree to be bound by these Terms.

1. The Service

ReviewSpy provides AI-powered analysis of publicly available Amazon product reviews to help sellers, brands, and agencies identify market opportunities, customer pain points, and product improvements. Output is informational and does not constitute business, legal, or financial advice.

2. Eligibility & Accounts

You must be at least 18 years old and able to enter into a binding contract. You are responsible for safeguarding your credentials and for all activity under your account.

3. Acceptable Use

You agree not to:

• Reverse engineer, scrape, or resell the Service or its outputs as a standalone dataset.
• Use the Service to violate Amazon's Terms of Service or any applicable law.
• Submit URLs or content that infringe third-party rights.
• Attempt to disrupt, overload, or gain unauthorized access to the Service.

4. Subscriptions & Billing

Paid plans are billed in advance on a recurring monthly basis unless otherwise stated. Fees are non-refundable except as described in our Refund Policy. You may cancel at any time; cancellation takes effect at the end of the current billing period.

5. Third-Party Data

ReviewSpy analyzes publicly available reviews from Amazon. Amazon is a trademark of Amazon.com, Inc. ReviewSpy is not affiliated with, endorsed by, or sponsored by Amazon.

6. Intellectual Property

The Service, including software, branding, and generated reports' formatting, is owned by WM Vertex LLC. You retain ownership of any inputs you submit and receive a non-exclusive license to use generated reports for your internal business purposes.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE OR COMPLETE.

8. Limitation of Liability

To the maximum extent permitted by law, WM Vertex LLC's total liability for any claim arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim. We shall not be liable for indirect, incidental, consequential, or punitive damages.

9. Termination

We may suspend or terminate your access for breach of these Terms. Upon termination, your right to use the Service ceases immediately.

10. Governing Law

These Terms are governed by the laws of the State of New Mexico, USA, without regard to conflict of law principles. Venue for any dispute shall lie exclusively in the state or federal courts located in New Mexico.

11. Changes

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice. Continued use after changes constitutes acceptance.
